Thank you for your interest in contributing to this project (the “Project”).
This Individual Contributor License Agreement (“Agreement”) is entered into between you (“You” or “Contributor”) and Nikan Radan (“Project Owner”).
By submitting a Contribution to the Project, You agree to the following terms and conditions.
“You” (or “Your”) means the individual copyright owner who submits a Contribution to the Project.
“Contribution” means any original work of authorship, including any modifications or additions to an existing work, that is intentionally submitted by You to the Project for inclusion in, or documentation of, the Project. For the purposes of this definition, “submitted” means any form of electronic, verbal, or written communication sent to the Project or its representatives, including but not limited to pull requests, commits, patches, issues, and comments.
“Project Owner” means Nikan Radan.
You hereby irrevocably assign, transfer, and convey to the Project Owner all right, title, and interest worldwide in and to Your Contributions, including all copyrights and copyright interests therein, to the maximum extent permitted by applicable law.
If any such assignment is deemed invalid or unenforceable under applicable law, You hereby grant the Project Owner a perpetual, worldwide, exclusive, irrevocable, royalty-free, fully paid-up license to exercise all rights of copyright in and to the Contribution, including the right to sublicense and relicense under any terms.
To the extent permitted by applicable law, You hereby waive, and agree not to assert, any and all moral rights, rights of attribution, rights of integrity, or similar rights in or to Your Contributions, whether arising under applicable law or otherwise.
Where such rights cannot be waived under applicable law, You agree not to exercise or enforce such rights against the Project Owner or its licensees to the maximum extent permitted by law.
Subject to the terms of this Agreement, the Project Owner hereby grants You a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to use, reproduce, modify, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions, solely as they existed at the time of submission.
This license-back does not limit the Project Owner’s rights to license the Contributions under different terms or to third parties.
You hereby grant to the Project Owner and to recipients of software distributed by the Project Owner a perpetual, worldwide, non-exclusive, irrevocable, royalty-free, fully paid-up patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Contribution, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution alone or by combination of Your Contribution with the Project to which it was submitted.
If You institute patent litigation against any entity (including a cross-claim or counterclaim in a lawsuit) alleging that the Contribution or the Project constitutes direct or contributory patent infringement, then any patent licenses granted to You under this Agreement for that Contribution shall terminate as of the date such litigation is filed.
You represent and warrant that:

You are legally entitled to grant the rights and assignments set forth in this Agreement;

Your Contributions are Your original work, or You have sufficient rights to submit the Contributions under the terms of this Agreement;

Your Contributions do not knowingly infringe the copyright, patent, trademark, or other intellectual property rights of any third party;

If You are submitting a Contribution on behalf of an employer or other entity, You represent and warrant that You have the legal authority to bind that entity to the terms of this Agreement, and that the Contribution is not subject to any agreement or obligation that would conflict with the rights granted hereunder.
You agree to indemnify and hold harmless the Project Owner from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising out of or related to a breach of the representations and warranties set forth in this Agreement.
You acknowledge that the Project Owner is under no obligation to use or distribute Your Contribution and may decide to include, modify, or exclude it at the Project Owner’s sole discretion.
This Agreement and all rights, licenses, and assignments granted herein are irrevocable.
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Project Owner resides, excluding its conflict of laws principles.
This Agreement sets forth the entire agreement between You and the Project Owner with respect to Contributions to the Project and supersedes all prior agreements or understandings.
By submitting a Contribution, You acknowledge that You have read and agree to this Agreement.
You acknowledge and agree that this Agreement may be accepted electronically, including by submitting a Contribution to the Project, and that such electronic acceptance shall have the same legal effect as a handwritten signature.
